Terms of Service
Welcome to AlloDirect (“AlloDirect,” “we,” “us,” or “our”). AlloDirect operates a B2B digital marketplace that connects accredited tissue banks with qualified healthcare organizations, including ambulatory surgery centers (ASCs) and hospitals (“Customer” or “you”).
By creating an account, placing an order, or otherwise using our website or services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”).
a. Eligibility
The Services are intended solely for use by licensed healthcare organizations and their authorized representatives. By using the Services, you represent and warrant that you are acting on behalf of such an organization and have authority to bind that organization to these Terms.
b. Marketplace Role
AlloDirect provides a technology platform that facilitates ordering between Customers and tissue bank suppliers. We do not manufacture, store, or clinically use products and are not the legal manufacturer of record. Product quality, labeling, and regulatory compliance remain the responsibility of the supplying tissue bank.
c. Clinical Responsibility
All clinical decisions, including product selection, indication, and use, are solely the responsibility of the treating clinicians and the Customer. Nothing on the AlloDirect website or within the Services constitutes medical advice. Customers are responsible for verifying that products are appropriate for the intended clinical application and compliant with applicable laws, regulations, and institutional policies.
d. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You agree to notify us promptly of any unauthorized use or suspected breach of security.
e. Pricing and Payment
Prices displayed through the Services are provided by participating tissue banks and may change at any time prior to order confirmation. Taxes, fees, and shipping charges may be added at checkout. Payment terms, including any credit terms, are as stated at checkout or in a separate written agreement between you and AlloDirect.
f. Prohibited Uses
You agree not to:
- Use the Services for any unlawful purpose.
- Resell products in a manner that violates applicable law or supplier terms.
- Interfere with or attempt to circumvent our security or authentication measures.
g. Modifications to the Services
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, provided that such changes do not materially impact any already accepted and confirmed orders without your consent.
h. Limitation of Liability
To the fullest extent permitted by law, AlloDirect and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits or revenue, arising out of or related to your use of the Services or products obtained through the marketplace. Our aggregate liability in connection with any claim shall not exceed the total fees paid to AlloDirect for the applicable order giving rise to the claim.
i. Indemnification
You agree to indemnify and hold harmless AlloDirect from and against any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use of the Services; (ii) any breach of these Terms; or (iii) any clinical use of products ordered through the marketplace.
j. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict-of-law principles. Any disputes shall be resolved in the state or federal courts located in Indiana, and you consent to the exclusive jurisdiction of those courts.
k. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after any update constitutes your acceptance of the revised Terms.
Privacy Policy
This Privacy Policy explains how AlloDirect collects, uses, and protects information when Customers use our Services.
a. Information We Collect
We may collect:
- Business contact information (name, title, organization, email, phone).
- Account and login information.
- Order details and transaction history.
- Usage data related to how your organization interacts with the platform.
We do not intentionally collect consumer or patient-identifiable health information through the website. Customers are responsible for ensuring that any data shared with AlloDirect complies with applicable privacy and health information laws.
b. How We Use Information
We use information to:
- Provide, operate, and improve the Services.
- Process orders and facilitate communication between Customers and suppliers.
- Provide customer support and respond to inquiries.
- Maintain security, monitor for fraud or abuse, and comply with legal obligations.
- Send operational or service-related communications.
c. Sharing of Information
We may share information with:
- Tissue bank suppliers and logistics partners as necessary to fulfill and track orders.
- Service providers who perform functions on our behalf.
- Regulatory or governmental authorities when required by law.
We do not sell Customer data to third parties.

We use reasonable administrative, technical, and physical safeguards designed to protect information from unauthorized access, loss, or misuse.
e. Data Retention
We retain information for as long as necessary to provide the Services, comply with legal obligations, resolve disputes, and enforce our agreements.
f. Your Choices
You may update certain account information by logging into your account. If you wish to deactivate your account, please contact us using the information below.
g. International Users
The Services are intended primarily for use by organizations located in the United States.
h. Changes to This Privacy Policy
We may update this Privacy Policy periodically.
Refund & Returns Policy
Due to the nature of biologic and allograft products, all orders are generally final once confirmed.
a. Non-Returnable Items
Allograft and biologic products are not eligible for return or resale except as expressly permitted below.
b. Damaged, Defective, or Incorrect Products
If an order arrives damaged, appears to be compromised, or does not match the confirmed order, you must notify AlloDirect in writing within two business days of delivery.
c. Order Cancellations
Cancellations may not be possible after an order has been accepted by the supplier.
d. Refund Method
Any approved refunds or credits will generally be issued as a credit on your AlloDirect account.
Shipping & Fulfillment Policy
a. Fulfillment Process
Orders placed through AlloDirect are fulfilled by participating tissue bank suppliers.
b. Shipping Costs and Lead Times
Shipping costs, lead times, and available delivery windows will be disclosed during checkout.
c. Risk of Loss
Risk of loss and title to products generally transfer to the Customer upon delivery.
d. Delivery Issues
If a shipment is delayed, lost, or arrives outside expected conditions, contact AlloDirect immediately.
